These terms govern your use of spylogicsolutions.com, the services offered by SPY Logic Solutions (“SPY Logic”, “we”, “us”) and our free online tools. SPY Logic Solutions is a company registered in India at [registered address], [registration / CIN number].

By using our website or tools, you agree to these terms. If you do not agree, please do not use them.

You may browse and share our website for lawful purposes. You agree not to:

• Copy, scrape or resell our content or tools without written permission
• Attempt to break, overload or gain unauthorised access to our systems
• Upload malicious code or use the site to send spam
• Misrepresent your identity or affiliation

Software development, cloud, integration and AI services are provided under a separate signed agreement, such as a Master Services Agreement and Statement of Work. If that agreement conflicts with these terms, the signed agreement prevails.

Estimates, scoping plans and proposals are for guidance only and become binding only once included in a signed agreement.

Fees, milestones and payment schedules are set out in each agreement. Unless agreed otherwise:

• Invoices are issued in INR, USD, GBP or EUR and are due within 15 days
• Indian clients are charged GST where applicable; clients abroad are responsible for their local taxes
• Late payments may incur interest of 1.5% per month and may pause work
• Paid pilot sprints are non-refundable once delivered

On full payment, you own the code, designs and documentation we create specifically for you, and we assign all rights in them to you.

We keep ownership of our pre-existing tools, libraries and know-how, and grant you a perpetual, royalty-free licence to use any that are included in your deliverables. Open-source components remain under their own licences.

We will only name you or show your project in our portfolio with your written permission.

Both parties will keep each other’s confidential information private and use it only for the project. We are happy to sign your NDA, or provide ours, before you share any details.

Our free online tools are provided “as is”, at no cost, and are supported by advertising. We may change, limit or withdraw any tool at any time.

Results from calculators and similar tools are estimates only. Do not rely on them for financial, legal or tax decisions without professional advice. Fair-use limits may apply to prevent abuse.

Money Maven is offered as a subscription service and is governed by its own subscription terms and data processing terms, which you accept when you start a trial or subscribe. Plans include a 7-day free trial; pricing is shown on the Money Maven website.

We fix defects reported within 30 days of delivery at no extra cost, unless your agreement says otherwise. Beyond that, our website and free tools are provided without warranties of any kind.

To the extent permitted by law, our total liability under any engagement is limited to the fees you paid us in the 12 months before the claim, and we are not liable for indirect or consequential losses such as lost profits or data.

Our website and tools may link to, or rely on, services we do not control, such as hosting providers, payment gateways and advertising networks. Their own terms apply, and we are not responsible for their content or practices.

We may suspend access to our website or tools if you breach these terms. Termination of client engagements is governed by your signed agreement; on termination we hand over all work you have paid for.

These terms are governed by the laws of India, and the courts of Vellore, India have jurisdiction. Clients outside India may agree a different governing law in their signed agreement.

We may update these terms from time to time. We will change the “last updated” date above and, for material changes, notify active clients by email.
